These Terms supplement your Merchant Agreement with Goonet Technologies Ltd (“GooPay”, “we”) for payment processing, card machines, SoftPOS, online checkout and payment links. Where these Terms conflict with a signed Agreement, the Agreement prevails.
1. Services
We provide acquiring-related services and technology so you can accept card and wallet payments in person (terminals and SoftPOS), online and via payment links, subject to approval, scheme rules and applicable law.
2. Your obligations
- Provide accurate KYC / KYB information and keep it up to date.
- Use the Services only for lawful goods and services you supply.
- Not process transactions for third parties without our written consent.
- Comply with PCI DSS obligations applicable to your integration and devices.
- Not use the Services for prohibited or restricted activities.
3. Fees and settlement
Fees are as set out in your pricing schedule. Settlement timing (typically T+1 into your GooPay balance) and payouts to your nominated UK bank account are described in your Agreement. We may withhold settlement where we reasonably suspect fraud, chargebacks, AML risk or scheme non-compliance.
4. Chargebacks
You remain responsible for chargebacks and related fees, and must respond to evidence requests on time.
5. Devices and SoftPOS
Also governed by the Payment Device Terms. Lost, damaged or unreturned devices may be charged as set out in your schedule.
6. Data protection
Roles are described in the Privacy Policy and, where applicable, a Data Processing Addendum.
7. Confidentiality
Each party must keep the other’s non-public business, technical and pricing information confidential, except as required by law or regulators.
8. Term and termination
Either party may terminate as set out in the Agreement. On termination stop using the Services and return or wipe devices as directed.
9. Liability
Liability caps are as in your Agreement. Nothing excludes liability that cannot be excluded by English law.
10. Governing law
Laws of England and Wales. Courts of England and Wales have exclusive jurisdiction unless your Agreement states otherwise.
